1. Agreement
These Terms (“Terms”) govern your use of the websites, account area, and EDI services (collectively, the “Services”) provided by BeeDI Cloud (“we,” “us,” or “our”). Our Privacy Policy explains how we handle personal data and is incorporated by reference.
2. Services
- Hosted EDI portal and tools to receive, transform, and transmit EDI documents (e.g., 850, 855, 856, 810).
- Retailer enablement and mapping as listed on the site; coverage may expand over time.
- Production readiness depends on accurate customer-supplied trading partner documentation, sandbox credentials, test results, and retailer approval.
- Payments are processed by Stripe and/or PayPal; we do not store full card data.
3. Accounts & Free Trial
- You must be at least 18 and authorized to bind your organization.
- Keep credentials confidential; you’re responsible for all activity under your account.
- 7-day free trial: one per organization. At day 7, accounts become read-only/locked unless you purchase a paid plan. We may delete inactive trial data after 90 days.
- Post-purchase, your account shows the external EDI portal link; the portal has a separate login managed by you/your team.
4. Pricing, Billing & Taxes
- Prices are as posted on the Pricing page (e.g., Core base monthly + per-retailer add-ons; Professional at a flat monthly rate).
- Annual billing: 40% discount for the first year, then 25% discount on renewals, applied to then-current rates unless otherwise stated.
- Subscriptions auto-renew until canceled. Cancel anytime; access continues until the end of the current paid term. Fees are non-refundable except where required by law.
- You authorize us and our payment processors to charge your payment method for recurring fees, overages, and applicable taxes.
- We may change prices with reasonable advance notice for subsequent terms.
- One-off mapping update fees may apply where standards change (as listed on site). Retailer access fees do not guarantee immediate production go-live.
5. Support Levels
- Core: email support during business hours (US time zones).
- Professional: priority email plus phone/text line; reasonable use limits apply.
- Response targets are not guarantees or SLAs unless a separate signed agreement states otherwise.
6. Acceptable Use
You agree not to, and not to allow others to:
- Use the Services for unlawful activities or to transmit unlawful content.
- Probe, scan, or test the vulnerability of systems without authorization; interfere with or disrupt the Services.
- Resell or sublicense the Services without our written consent.
- Exceed fair-use limits (e.g., automated scraping, abusive API polling) that materially degrade stability for others.
- Store or transmit malicious code.
7. Customer Data & Privacy
- “Customer Data” includes EDI payloads, configuration, and account information you provide. You retain ownership of Customer Data.
- You grant us the rights necessary to host, process, and transmit Customer Data solely to provide the Services and comply with law.
- We handle personal data as described in our Privacy Policy. Data Processing Addendum (DPA) available upon request for eligible customers.
- Upon termination or request, we provide a reasonable opportunity to export Customer Data; backups may be deleted on a rolling basis and cannot be selectively restored.
8. Availability, Maintenance & Changes
- We target high availability and announce scheduled maintenance when practical.
- We may modify or discontinue features; if a change materially degrades core functionality for a paid term, your sole remedy is to cancel before the next renewal.
9. Security
- Transport security (HTTPS), hashed passwords, and principle-of-least-privilege access are standard practice.
- You are responsible for secure endpoints, credentials, and integration keys on your side.
- Notify us promptly of suspected unauthorized access: support@beedi.coio.
10. Intellectual Property & Feedback
- We retain all rights in the Services, software, documentation, and trademarks. No rights are granted except as expressly stated.
- Feedback is voluntary; you grant us a perpetual, worldwide, royalty-free license to use it without obligation.
11. Third-Party Services
The Services may interoperate with third-party services (e.g., payment processors, analytics, email, EDI retailer systems). We are not responsible for third-party services or their terms; your use of them is governed by their terms and privacy policies.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TERM IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THAT TERM (OR USD $500 IF NONE).
14. Indemnification
You will defend, indemnify, and hold us harmless from claims arising out of your Customer Data, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
15. Suspension & Termination
- We may suspend or terminate access for material breach, security risk, non-payment, or unlawful activity.
- Upon termination, your license ends and access to the Services ceases. We may retain minimal records as required by law and delete remaining Customer Data according to our retention schedules.
16. Governing Law & Venue
These Terms are governed by the laws of Ohio, USA, excluding conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Ohio, USA, and the parties consent to personal jurisdiction there.
17. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice (e.g., email or in-app). Continued use after changes take effect constitutes acceptance of the updated Terms.
